Senior In-House Counsel

Position Description:

The Dublin Legal team has an opening for a senior lawyer.  The successful candidate will assist the Dublin General Counsel in managing the team.  Key responsibilities will include assisting with contractual arrangements of SEI’s Fund Administrator and Depositary businesses and advising SEI’s Irish entities on corporate governance and regulatory matters.

The successful candidate will report to the Dublin General Counsel and collaborate closely with members of the Legal and Compliance teams in Dublin, Luxembourg and the USA. 

What you’ll do:

  • Drafting and negotiation of various client service agreements (including administration, depositary and non-disclosure agreements) with clients/their counsel and supporting the business unit with review of the legal documentation relating to new client fund launches.

  • Supporting Fund Accounting, Transfer Agency, Financial Reporting and Depositary teams on legal issues relating to client mandates.

  • Advising on corporate governance requirements and regulations impacting Fund Service Providers and assisting the Legal and Compliance teams with effective and timely implementation of regulatory changes.

  • Assisting with drafting, implementation and maintenance of legal and regulatory templates, policies and procedures.

  • Assisting the Dublin Company Secretary in preparation for the board meetings of the SEI Ireland entities.

  • Contributing to global legal and compliance projects and initiatives.

What you will bring to the table:

  • Qualified solicitor in Ireland or England, with 7 - 10 years’ post qualification experience working as a funds or financial services solicitor in a law firm and/or an in-house legal department.

  • Experience with drafting and review of service contracts, ideally Fund Service Provider agreements for EU investment funds.

  • Strong knowledge of the laws, regulations and industry guidance impacting Fund Administrators and Depositaries.
