We are seeking a Senior Corporate Counsel. As a Senior Counsel, Corporate, you’ll be part of a cross-functional team whose mission is to lead IonQ on its journey to build the world’s best quantum computers to solve the world’s most complex problems. 

In this role, you will report to the Associate General Counsel for Corporate and Assistant Corporate Secretary.  You will be a true business partner, having a meaningful impact on the organization by supplying sound business advice, excellent negotiation skills and well-informed advice on corporate governance, securities and transactional matters.


Responsibilities:

  • Provide legal counsel on securities law compliance and SEC reporting, including annual, current and periodic reports and proxy statements, disclosure controls and procedures.
  • Assist in corporate governance matters, including supporting the board of directors and implementing and managing corporate governance policies and assisting with subsidiary management.
  • Assist with mergers, acquisitions, investments and other strategic transactions, including term sheets, diligence, preparation of transaction agreements, the closing process and integration.
  • Support on equity matters, including equity issuances, equity awards, plan management and Section 16 filings.
  • Advising on investor relations, corporate communications and corporate financial reporting functions.



You’d be a good fit with:

  • JD from a top U.S. law school
  • Training at a top national law firm
  • 5-7 years of total post-law school experience
  • Membership in a U.S. state bar
  • Significant experience advising on M&A transactions and public company reporting matters
  • Sound and practical business judgment and the ability to provide business-oriented, practical legal advice


You’d be a great fit with: 

  • Experience with corporate governance matters, especially in Delaware
  • Experience managing outside counsel efficiently and effectively, and balancing that with using in-house resources
  • Prior senior in-house experience, including reporting to the General Counsel
  • Experience working with other in-house teams, including finance, corporate development and accounting
  • Strong interpersonal communication skills and an ability to multitask and work in a fast-paced environment


Location:
This position can work onsite or hybrid from one of our offices (College Park, MD, Bothell, WA) or fully remote in the US.

The approximate base salary range for this position is $171,518 - $223,665 (with flexibility depending on the geographic location). The total compensation package also includes equity in addition to base and bonus.

Compensation will vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. Posted base salary figures are subject to change as new market data becomes available. IonQ's HQ is located in College Park, Maryland, just outside of Washington DC. We are actively building out our recently opened manufacturing and production facility in Bothell, WA (near Seattle). Depending on the position, you may be required to be near one of our offices in College Park, Seattle, Toronto, Canada, and Basel, Switzerland.
