Director, Associate General Counsel

Joining Collibra’s Legal team-

Collibra’s Legal team is a collaborative group of high-performing, service-oriented attorneys who act as trusted advisors to all areas of the business. We are seeking an experienced SaaS-based commercial contracting attorney to lead our global commercial legal function. Reporting to the General Counsel, you will manage a team of talented commercial contracting attorneys in the US and Europe, and collaborate with our global sales leadership to ensure our customer contracting process both protects Collibra’s interests and enables customers to purchase our products and services with ease. The role presents a significant opportunity for a motivated attorney to gain high-profile leadership experience and a deep understanding of the data privacy, AI, intellectual property, liability, and compliance considerations that inform a trailblazing SaaS company serving some of the most sophisticated and highly regulated organizations in the world.

This role is either remote or a hybrid role based in our Raleigh or New York office if the candidate is located in one of those regions. Our hybrid model means you’ll work from the office at least two days each week. This setup helps us stay connected, work more closely together, and keep making progress as a team.

The Associate General Counsel - Head of Commercial at Collibra is responsible for

  • Lead and manage the Global Commercial Legal team and function, overseeing all legal aspects of the company’s customer, vendor, and strategic partner agreements globally.
  • Draft, review, and negotiate complex commercial contracts, including SaaS agreements, licensing, procurement, partnership, distribution, NDAs, and professional services agreements.
  • Develop and implement scalable contract templates, playbooks, and negotiation strategies to drive efficiency, consistency, and risk mitigation across the commercial function. Provide training to the sales organization to ensure alignment with these strategies.
  • Collaborate cross-functionally with Sales, Procurement, Finance, Product, Marketing, and Operations teams to align legal support with business objectives and timelines.
  • Provide strategic legal advice and risk assessments to internal stakeholders on contract terms, including those addressing AI, data privacy, intellectual property, and regulatory considerations.
  • Support international expansion and cross-border transactions, ensuring commercial contracts comply with local laws and international legal standards.
  • Mentor and train commercial legal team members to facilitate each member’s career development. 

You have

  • Juris Doctor (J.D.) from an accredited law school and active bar membership in good standing.
  • 8+ years of legal experience with a strong focus on commercial transactions, including significant in-house experience (preferably at a technology, SaaS, or B2B company).
  • Extensive experience negotiating and managing complex commercial agreements, including enterprise customer contracts, SaaS agreements, and strategic partnerships.
  • Demonstrated ability to lead and scale a commercial legal function, including building processes, playbooks, and managing internal or external legal teams.
  • Strong business acumen and collaborative mindset, with the ability to balance legal risk with strategic business objectives in a fast-paced environment.

Joining Collibra's Legal team:

We are seeking a motivated and experienced Senior Commercial Counsel for EMEA and/or APAC who is interested in joining Collibra’s world class Commercial Legal team. The Senior Commercial Counsel will mainly be supporting Collibra’s Sales function, including working on a variety of software licensing agreements, cloud services agreements, and data processing agreements. As a critical member of the Commercial Legal team, the Senior Commercial Counsel will regularly collaborate with cross-functional leaders to formulate creative legal and business solutions to win business while helping to streamline internal processes. This is a highly visible role, which will require you to manage a legal team and build strong relationships to support the company’s business objectives.

Senior Commercial Counsels at Collibra are responsible for:

  • Overseeing the EMEA Commercial Legal Team, including managing legal team members and taking ownership of initiatives to scale the business.
  • Drafting, reviewing, revising and negotiating enterprise software and SaaS customer contracts and related support and services agreements and data protection agreements.
  • Collaborating with Collibra’s sales, security, finance, and product teams in connection with contract reviews and related processes - maintaining and updating form agreements, contract management systems, and other databases.
  • Facilitating the timely closure of business transactions while minimizing risk exposure and assisting in the development and implementation of processes for more efficient and streamlined operations surrounding relevant commercial transactions.
  • Creating awareness, giving training and creating presentations and documents for other departments to standardize processes and increase knowledge of Legal issues and go/no-go’s.

You Have:

  • Law degree from European university of good standing with preferably some post-doctorate degree or specialization courses and 5-7 years relevant experience; in-house experience in a fast-growing technology company or in the software/SaaS space is preferred but not required.
  • Strong drafting and negotiation skills along with excellent business judgment and critical thinking skills - service-oriented mentality with excellent interpersonal skills and a strong interest and capability in collaborating with both legal and non-legal colleagues.
  • Experience managing legal team members and building a world class legal team.
  • Familiarity with EU and US privacy and data protection issues.
  • Foreign language skills are a plus.

  • Within your sixth month, you will...provide support on legal projects or help implement systems and projects to improve the team’s efficiency and work product.
