The ERCOT Legal Department is seeking an experienced attorney to join its team as a Corporate Counsel.  The ideal candidate will have corporate transactions and governance experience, excellent written and oral communication skills, excellent attention to detail, and a keen interest in supporting ERCOT in its critical roles.  

JOB SUMMARY

The Corporate Counsel delivers legal support and advice to the organization, including legal expertise and representation in corporate and commercial law; provides advice and counsel to internal clients; researches and drafts legal documents; and is responsible for execution of tasks related to commercial contracting and corporate governance.
 

JOB DUTIES

  • Understands the basic principles, theories and concepts related to the profession and learns how to apply them within the ERCOT culture.
  • Follows standard practices and procedures in analyzing situations or data from which answers can be readily obtained.
  • Contributes to specific objectives and outcomes as directed.
     

ADDITIONAL JOB DUTIES
 

Corporate Transactions

  • Drafts, reviews, and negotiates a variety of contracts, including software licenses, intellectual property, professional, consulting, and other services agreements, telecommunications, real estate, construction, leases, credit and financing, and employee benefits agreements
  • Maintains company policies relating to contracts and assists internal clients in complying with contract policies and procedures
  • Provides legal support and compliance advice to ERCOT internal groups and departments
  • Reviews and revises Corporate Standards, as necessary
  • Develops and maintains contract templates and playbooks, and continuously looks for opportunities for process improvements


Corporate Governance

  • Provides advice and counsel to internal clients with respect to corporate governance
  • Participates in the preparation of agendas and materials for Board of Directors and Board committee meetings, including recording minutes
  • Participates in corporate governance matters
     

EXPERIENCE

  • Requires minimum 2 years job related work experience in excess of degree requirements
  • Requires minimum 2 years of progressively responsible legal experience related to commercial contracting
  • Preferred candidate will have 5-10 years of job-related work experience
     

EDUCATION

  • Bachelor's Degree (Required)
  • Juris Doctorate from an accredited law school (Required)
     

CERTIFICATION

  • Admitted to practice before the State Bar of Texas (Required)
     

WORK LOCATION AND INTERVIEW PROCESS

  • Must be on-site at least two days per week, or more, based on business needs and as determined by management
  • Work arrangements are subject to business needs and subject to change
  • As part of the interview process, candidates for the position may be asked to complete a writing exercise to evaluate legal writing and analytical skills.

Expected Salary Range:

$112,178 - $190,703
