Contract Manager/Company secretary

Pune-Maharashtra-India Full time

The Contracts Manager and [Company Secretary] will work in close collaboration with the India and APAC legal team to support the contract review for contracts in the region. As a company secretary the role will include ensuring corporate governance and secretarial compliance under the Companies Act.

The Contracts Manager and [Company Secretary] must be forward-looking with a “can do” orientation and willing to develop a deep understanding of the businesses they support. They must demonstrate innovative thinking, work independently and proactively, and function as a trusted advisor to the attorneys and business team members they support.

Primary Duties:

  • Assist and support the review, drafting and negotiation of agreements, including sales, service, framework agreements, and construction contracts in accordance with the Johnson Controls’ policies.
  • Partner with a variety of stakeholders to ensure that the contract language reflects Johnson Controls’ internal policies in the Agreements.
  • Conducting meetings of the board/ shareholders, preparing minutes and conducting necessary statutory filings  before the ROC.
  • Ensure compliance under FEMA regulations concerning FDI, issuance of securities
  • Assist with in M&A projects with planning board actions, statutory filings and maintaining corporate governance records.
  • Ensure clear and direct communication when corresponding (verbally or written) with the business team and customer on the status of the agreement.
  • Advise the business to make well informed decisions related to the agreements.
  • Perform research and analysis for decision-making and present synopsis.
  • Assist in the implementation and communication of Johnson Controls’ policies, processes and procedures for any agreement.

Candidates for the Contracts Manager and Company Secretary role must possess the following:

  • Excellent command of the English language (written and verbal).  Must have knowledge of legal terminology in English.  
  • B.A.LL.B and ICSI certification and minimum of 5 years of contract review experience which includes meaningful periods of time supporting multinational organizations in the review and negotiation of English language contracts.
  • Excellent communication (written and verbal), presentation and organization skills.
  • Process-driven, detail oriented, self-motivated, and analytical.
  • Experience partnering with the business and to collaborate with cross-functional teams to meet specific needs of the business.

Proficient in MS Office Suite products, including Excel, Word and PowerPoint
